In structuring a corporation, the bylaws may reserve certain corporate decisions or actions to be made by a shareholder, possibly the parent corporation. These reservations can be termed as the reserved powers of the parent corporation. These decisions are usually major, for example whether to sell large amounts to the corporate property or whether to merge with another corporation.
